1. Who we are

Contra Club is an invite-only B2B trade platform operated in Australia, connecting member businesses in the Gold Coast and Brisbane regions to exchange goods and services without cash discounting to the public.

2. Membership

Membership is subject to application approval at our discretion. We may decline, suspend, or terminate a member account where a business no longer meets our curation standards, breaches these terms, or misrepresents its business identity (including ABN or contact details) on application.

3. The contra model

Contra Club facilitates barter trades between members. Each trade is memorialised in a written contract signed by both parties through the platform. Contra credits are recorded in your wallet, are non-transferable between members, and expire on a rolling 12-month basis with a 60-day advance email warning.

4. Platform fee

A transaction fee of 1.5% of the agreed deal value is charged to each party when a contract is countersigned. The fee is debited from the card on file via Stripe. Subscription fees (billed monthly) are separate from transaction fees and continue for as long as the account is active.

5. Cash components

Where a trade includes an agreed cash component, that cash is transferred directly between the member businesses off-platform. Contra Club records the agreed amount but does not hold, transmit, or guarantee member funds.

6. Member conduct

Members are responsible for the accuracy of their listings, the quality of the goods or services they provide through trades, and for resolving any disputes that arise. Misleading listings, no-shows, non-delivery, or conduct that brings the platform into disrepute may result in immediate suspension.

7. Content and IP

Members retain ownership of the content they upload (logos, photos, descriptions). By uploading, members grant Contra Club a non-exclusive licence to display that content within the platform and in transactional emails to other members.

8. Liability

Contra Club is a platform, not a party to the underlying trade. Members engage with each other at their own commercial risk. To the extent permitted by Australian Consumer Law, our liability is limited to re-supply of services or the fees paid to us in the three months preceding any claim.

9. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email to the address on file and, where the change is adverse, take effect no earlier than 30 days after notification.
